Limited Liability Company (LLC). A Limited Liability Company gives you flexibility, some protection from liability, and pass-through taxation.

Closing Your Limited Liability Company (LLC). Members of an LLC may choose to shut down their business for a variety of reasons. These include, completion of purpose, change in business plans or environment, lack of profit, and a variety of personal reasons.

Shutting down an LLC involves a number of steps. These generally include: (1) A Resolution to Dissolve; (2) Filing a Notice of Dissolution with the Tennessee Secretary of State; (3) Filing a final tax return and obtaining a Certificate of Clearance from the Tennessee Department of Revenue; (4) Winding down including notifying creditors or potential claimants of the LLC dissolution; and (5) Filing Articles of Termination with the Tennessee Secretary of State.

Beginning January 2024, the Corporate Transparency Act requires many small businesses to report beneficial ownership information to the federal government.
